Effective
November 30, 2000, Texas Instruments Incorporated (referred to in this Agreement
as Texas Instruments) a Delaware Corporation, having a principal place of
business at 12500 TI Blvd., Dallas, Texas 75243, and Joerg Woerner (referred to
in this Agreement as Licensee), having a principal place of residence at D-73235
Weilheim, Lerchenstrasse 4 in
consideration of the mutual covenants and promises contained in this Agreement
between Texas Instruments and Licensee, agree as follows:
Subject
to Licensee's full compliance with this Agreement, Texas Instruments hereby
grants and Licensee accepts a worldwide, non-exclusive, non-transferable,
royalty-free, revocable license to use the Licensed Trademarks only on the
Licensed Website. No other right, title, or license is granted hereunder.
Licensee
may use the Licensed Trademarks on the pages of the Licensed Web Site in the
manner, and subject to the terms and conditions, specified in this Agreement.
This license is limited to using the Licensed Trademarks on the Licensed
Web Site and does not extend to any other use of the Licensed Trademarks.
Licensee agrees not to use any other Trademarks of Texas Instruments on
the Licensed Web Site or on any other web site. Licensee may not reproduce, modify, or distribute any
Trademarks of Texas Instruments or allow others to do so, except within the
scope of this license. These limitations do not prohibit textual use of the
Licensed Trademarks in the pages of the Licensed Web Site so long as such
Licensed Trademarks are used properly as trademarks with the appropriate
trademark symbol, generic noun, and attribution legend as required by Paragraph
4.3 of this Agreement.
4.1
Licensee shall use the Licensed
Trademarks in conformance with the Branding Usage Guidelines attached to this
License as Attachment B. Texas Instruments may modify the Licensed Trademarks or the
Branding Usage Guidelines at any time. Licensee
will use the new Licensed Trademarks or new Branding Usage Guidelines on its
Licensed Web Site within 10 days of receipt of the new Licensed Trademarks or
Guidelines from Texas Instruments or within a term as agreed by Texas
Instruments.
4.2
Licensee shall not alter or modify the
Licensed Trademarks or any Trademarks of Texas Instruments in any way.
Licensee may not integrate any Trademarks of Texas Instruments into any
of Licensee's own trademarks, logos, or designs.
Licensee may not use any marks or logos that are confusingly similar to
any Trademarks of Texas Instruments.
4.3
Licensee shall attribute ownership of all Licensed Trademarks to Texas
Instruments by using the following trademark attribution in all graphics or text
materials in which they are used: “ [referenced
Trademark]
are trademarks of Texas Instruments.”
